One of our Community members ask this question to Mr. Iking Ferry
“I have been hearing a lot about the upcoming Dangote Refinery IPO in Nigeria, and many people are saying it might be listed on the Premium Board of the Nigerian Exchange (NGX).
But honestly, I’m confused.
What exactly is “Premium Board” on NGX?
How is it different from Main Board or Growth Board?
Why are investors paying so much attention to it?
And how does this affect ordinary Nigerians who want to invest?
I also saw people talking about things like:
Free float
Corporate governance
Big companies being listed there
But I don’t really understand what all these mean in simple terms.
Please, can someone explain:
What Premium Board really means
Why Dangote Refinery IPO is considered a big deal
And what beginners should understand before thinking of investing
I want a simple explanation, not big grammar, something even a beginner can understand clearly.
Oya… relax. Let me break this down in a simple way, so even Mama Ngozi that sells tomatoes in the village will understand. FIRST - WHAT IS IPO? IPO means Initial Public Offer. Simple meaning? Oya… relax.
Let me break this down in a simple way, so even Mama Ngozi that sells tomatoes in the village will understand.
FIRST – WHAT IS IPO?
IPO means Initial Public Offer.
Simple meaning?
A company is saying:
“We want the public to own part of this business.”
So when Dangote Refinery goes public…
It means:
You
Me
Even Mama Ngozi
…can buy shares and become part-owners.
NOW… WHY IS EVERYBODY TALKING ABOUT THIS ONE?
Because Dangote Refinery is not small.
We are talking about a business with a projected value of: $40 Billion – $50 Billion
And they may list about: 5% – 10% of the company
That is roughly: $5 Billion (₦6 Trillion+) entering NGX
Let me say it again…
This is not just a normal listing.
This is a capital market event.
NOW… WHAT IS “PREMIUM BOARD”?
This is where many people are confused.
Let me explain with a simple example.
Think of NGX like a market.
Inside that market, there are different sections:
Growth Board = Small growing companies
Main Board = Established companies
Premium Board = Elite companies
Let me explain this better with a Simple Story..
Imagine a big market like Abakaliki International Market.
Inside that market:
Some people sell on the floor
Some have small shops
Some have big stores
But there is one special section:
Clean
Organized
Only trusted sellers
Only people with serious money
That section is Premium Board
But, let me tell you the truth..
Not every company can enter Premium Board.
The requirements are strict.
And…
A company must have:
Minimum value of about ₦200 Billion+
With Strong corporate governance (at least 70% rating)
And At least 20% free float
WHAT IS FREE FLOAT?
Oya… calm down.
Let me explain it simply.
Free float means the shares available for people like you to buy and sell.
If free float is:
LOW = You may buy but struggle to sell
HIGH = Easy to buy and easy to sell
That is called liquidity.
And serious investors care about that.
WHY PREMIUM BOARD IS IMPORTANT
Let me tell you something deep.
Foreign investors don’t just invest anywhere.
They look for:
Structure
Transparency
Strong management
And guess where they go?
Premium Board
NOW LET’S TALK ABOUT DANGOTE REFINERY
If Dangote Refinery lists on Premium Board…
It means:
Strong investor confidence
Massive money entering the market
Increased global attention on Nigeria
More opportunities for investors
BUT… READ THIS CAREFULLY
I am NOT saying:
“Go and buy because it is Dangote”
No.
I am saying:
Understand what you are doing first
Because:
“Big name does not replace knowledge.
Most people:
Hear news
Follow hype
Enter blindly
But only few people:
Understand structure
Understand system
Understand value
And those are the ones that win.
That is exactly why I built Fokona.com
To make:
Money

Financial decisions
…simple enough for anybody to understand.

🏢 What is “Premium Board” on NGX?
The Nigerian Exchange Group has 3 main boards:
1. Growth Board
For small, growing companies
Higher risk
2. Main Board
For normal, established companies
Moderate stability
3. Premium Board (Top level ⭐)
For very big, trusted companies
🟡 Simple meaning of Premium Board
Think of it like this:
Growth Board → “small shops”
Main Board → “big supermarkets”
Premium Board → “Shoprite-level companies”
👉 Premium Board = highest standard companies on NGX
🧠 What makes a company qualify for Premium Board?
They must meet strict rules like:
🔹 1. Free Float (very important)
This just means:
“How much of the company is available for the public to buy”
Example:
If a company is worth ₦1 trillion
At least a large part must be owned by the public (not just the founder)
👉 This ensures:
People like you can actually buy shares
Shares are actively traded
🔹 2. Strong Corporate Governance
Big grammar, simple meaning:
The company is well managed and transparent
They must:
Publish financial reports regularly
Avoid fraud
Have proper board structure
👉 So investors can trust them.
🔹 3. Large Company Size
Only very big companies qualify.
Examples already there:
Dangote Cement
MTN Nigeria
💥 Why Premium Board matters
Because:
👉 Investors trust these companies more
👉 Big money (local + foreign) flows there
👉 Shares are more liquid (easy to buy/sell)
🛢️ Now: Why Dangote Refinery IPO is a BIG deal
Let’s be very clear—this is not normal hype.
The Dangote Refinery is:
The largest refinery in Africa
One of the biggest in the world
Owned by Aliko Dangote
🔥 Why investors are excited
1. It solves a major Nigerian problem
Nigeria:
Produces crude oil
But imports fuel 😐
Dangote Refinery:
Processes crude locally
Reduces import dependency
👉 That’s huge economically.
2. Massive revenue potential
This business:
Sells fuel (petrol, diesel, aviation fuel)
High demand = steady cash flow
👉 Investors like predictable money.
3. Likely Premium Board listing
If listed there:
It signals high credibility
Attracts big investors (banks, foreign funds)
4. Similar to Dangote Cement story
Early investors in Dangote Cement made serious money over time.
👉 People are expecting similar long-term growth.
⚠️ But don’t get carried away (important)
Let’s balance this.
❗ 1. IPO hype can mislead
Not every IPO:
Goes up immediately
Makes people rich quickly
👉 Some drop after listing.
❗ 2. Price matters
Even a great company can be:
❗ a bad investment if you buy too expensive
❗ 3. It’s a long-term play
Refinery business:
Capital intensive
Takes time to stabilize
👉 Not for quick profit mindset.
🧠 What beginners should understand
Before investing:
✅ 1. You’re buying a business, not hype
Ask:
Will this company make consistent profit?
Can it grow over 5–10 years?
✅ 2. Don’t go all in
Even if it’s good:
👉 Don’t put all your money in one IPO
✅ 3. Watch these things when IPO comes
Offer price
Dividend policy
Debt level
Profit history
✅ 4. Combine with other investments
Don’t abandon:
Money Market Funds
REITs
NIDF
👉 Balance is key.
🔚 Final simple explanation (for clarity)
Premium Board = Top-quality companies on NGX
Dangote Refinery IPO = big because of size + impact + potential profits
But success depends on price + patience + discipline
✔️ Straight advice to you
When this IPO comes:
Don’t rush.
Instead:
Understand the price
Compare with other investments
Invest only what you can leave for years
