FIRST – WHAT IS IPO?

IPO means:
Initial Public Offering

Simple meaning:
A company is opening its business for the public to invest.

Imagine this…
Before now, Dangote Refinery belongs to one person or a small group.
But when IPO happens:
They now say
“Come and buy part of this business.”
So you, me, and Mama Ngozi can now become part owners.

WHY DANGOTE IPO IS A BIG DEAL ON NGX

Let’s talk numbers.
Dangote Refinery estimated value: $40B – $50B
And Expected listing portion: 5% – 10%
That means:
About $5 Billion (₦6 Trillion+) could enter the Nigerian capital market.

Let me be honest with you:
This is not just a normal listing…
This is a major economic event.

NOW – WHAT IS NGX PREMIUM BOARD?

This is where many people get confused.
To understand this…
Let’s use a simple story to explain this better.

Imagine a very big market in Lagos.
Inside this market, there are different sections:
Small traders selling on the floor
Medium traders with shops
Big traders with large stores

But there is one special section:
Very clean
Well organized
Only trusted sellers
Only people with strong capital
That section is not for everybody.
Only the best traders are allowed there.
That special section is what we call Premium Board.

WHAT PREMIUM BOARD REALLY MEANS

Premium Board is:
The top level of companies on NGX
The most trusted companies
The most structured businesses
Think of it like this:
If NGX is a school…
Premium Board is the “First Class students section.”

WHAT A COMPANY MUST HAVE TO ENTER PREMIUM BOARD

Not every company can enter.
They must meet strict conditions:

1: Big Size (Market Value)

Minimum: ₦200 Billion
Meaning:
This is not for small companies.

2: Strong Management (Corporate Governance)

Must score at least 70% rating on Corporate Governance Rating System
Meaning:
Good leadership
Transparency
Accountability

3: Free Float (Liquidity)

At least 20% shares available to the public
OR
Shares worth ₦40 Billion+ available

Let me explain this one very well with a Simple Story..

WHAT IS FREE FLOAT?

Back to Mama Ngozi.
Imagine Mama Ngozi brings tomatoes to the market.
If she only brings 2 baskets:
People will struggle to buy
Some will not get
Market becomes tight
But if she brings 50 baskets:
Everybody can buy
Buying and selling becomes easy
That is exactly what free float means.

High free float = Easy to buy & sell
Low free float = Hard to trade

WHY NGX PREMIUM BOARD IS VERY POWERFUL

Let me tell you something many people don’t know:
Foreign investors don’t just invest anywhere.
They look for:
Stability
Transparency
Structure
And guess where they focus?
Premium Board companies
So when a company is listed there:
It attracts global investor
It builds trust
It increases capital flow
